1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of Go2Msg, including our website, applications, and APIs (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. You may not use the Service if you are barred from doing so under the laws of your country of residence or any other applicable jurisdiction.
3. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized access or suspected breach. You agree to provide accurate, current, and complete information when registering and to keep that information up to date.
4. Acceptable use
You agree not to use the Service to:
- send messages without the required consent from the recipient;
- send content that is unlawful, deceptive, harassing, defamatory, or that infringes any third party's rights;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks;
- interfere with or disrupt the integrity or performance of the Service; or
- reverse engineer, decompile, or otherwise attempt to derive source code from the Service except where permitted by law.
5. Messaging compliance
You are solely responsible for the content you send and for obtaining and documenting valid consent (opt-in) from each recipient. When using the Service you agree to comply with all applicable laws and platform policies, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the CTIA Messaging Principles and Best Practices, individual carrier requirements (including 10DLC registration where applicable), and the WhatsApp Business Messaging Policy and Commerce Policy.
You agree to honor opt-out requests promptly and to maintain accurate records of consent and opt-outs. We may suspend or terminate access to the Service if we reasonably believe your use violates these requirements.
6. Subscriptions, fees, and billing
Paid plans renew automatically at the end of each billing period unless cancelled before renewal. Fees are billed in advance and are non-refundable except where required by law. Usage-based charges (such as per-message, per-segment, or per-number fees) are billed in arrears. We may change pricing on prospective billing periods with notice; continued use after the effective date constitutes acceptance.
Taxes are your responsibility unless we are required by law to collect them. If a payment fails, we may suspend the Service after reasonable notice.
7. Third-party services
The Service relies on third-party providers, including but not limited to telecommunications carriers, the WhatsApp Business API operated by Meta Platforms, Inc., and payment processors. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions. We do not guarantee continued availability of any third-party integration.
8. Intellectual property
The Service, including all software, designs, text, graphics, and trademarks, is owned by Go2Msg or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain all rights to the content you create or upload, and you grant us a worldwide, royalty-free license to host, transmit, and process that content solely as necessary to provide the Service.
9. Suspension and termination
You may cancel your account at any time from your account settings. We may suspend or terminate your access immediately if you breach these Terms, if your use poses a risk to us or other users, or if required by law or a third-party provider. Upon termination, your right to access the Service ceases, and we may delete your data after a reasonable retention period.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
11. Limitation of liability
To the maximum extent permitted by law, in no event will Go2Msg, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms or the Service. Our total cumulative liability for any claim arising out of or relating to these Terms or the Service will not exceed the amounts you paid us in the 12 months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Go2Msg and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your breach of these Terms or applicable law.
13. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice) before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Go2Msg is established, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the courts of that jurisdiction, except where applicable law requires otherwise.
